Cancellation of the (virtual) Annual General Meeting

Deutsche EuroShop AG, Hamburg (the “Company”), entered into an investor agreement with Hercules BidCo GmbH, Munich (the “Bidder”), on 23 May 2022, pursuant to which the Bidder will make a voluntary public takeover offer (the “Offer”) for all outstanding shares of the Company.

In view of the changed shareholder structure in the event of the Offer being successfully executed, the Company hereby cancels its (virtual) Annual General Meeting as published in the German Federal Gazette of 16 May 2022, convened for Thursday, 23 June 2022, at 10:00 a.m. (Central European Summer Time – CEST). The invitation to the Company’s (virtual) Annual General Meeting published in the German Federal Gazette (Bundesanzeiger) on 16 May 2022 is therefore irrelevant.

The Company will reconvene the Annual General Meeting for the end of August 2022.
